These Terms of Service ("Terms") are a binding agreement between you and Full Stack Development, LLC, a Texas limited liability company ("Company," "we," "us," or "our"), which operates the website at itsmattgeorge.com and its related subdomains, pages, blog, tools, and application programming interfaces (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference. If you do not agree, do not access or use the Service.
1. Eligibility
You must be at least 18 years old, or the age of legal majority in your jurisdiction, and legally able to enter into a contract, to use the Service. By using the Service you represent and warrant that you meet these requirements and that you are not barred from using the Service under the laws of the United States or any other applicable jurisdiction.
2. The Service
The Service is an informational website that includes articles and written content, free browser-based tools and utilities, and optional application programming interfaces. The Service is provided for general informational and educational purposes only. We may add, change, suspend, or discontinue any part of the Service at any time without notice or liability.
3. Not Professional Advice
The content on the Service, including articles, reference material, and any output of our tools, is provided for general informational purposes only and does not constitute professional, legal, financial, tax, engineering, security, or other advice. You should not act or rely on any content without seeking advice from a qualified professional. Your use of any content is at your own risk.
4. Intellectual Property
Unless otherwise noted, all content on the Service, including text, articles, graphics, logos, designs, code, the selection and arrangement of content, and the look and feel of the Service, is owned by the Company or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to access and view the Service for your own personal, non-commercial use. You may not copy, reproduce, republish, distribute, sell, license, scrape, harvest, mirror, frame, or create derivative works from any part of the Service, in whole or in part, without our prior written permission, except that you may share links to our pages and may quote brief excerpts with clear attribution and a link to the source. You may not access, download, scrape, or use any content, data, or output from the Service to train, fine-tune, or otherwise develop any artificial intelligence or machine learning model, system, or algorithm.
5. Acceptable Use
You agree not to, and not to permit any third party to: (a) use the Service in violation of any applicable law or regulation; (b) access, scrape, crawl, or harvest content or data from the Service by automated means except as expressly permitted by us in writing or by a public API we provide, and subject to any published limits; (c) interfere with, disrupt, overload, or attempt to gain unauthorized access to the Service, its servers, or related systems or networks; (d) probe, scan, or test the vulnerability of the Service or breach any security or authentication measures; (e) reverse engineer, decompile, or disassemble any part of the Service except to the extent that restriction is prohibited by law; (f) use the Service to transmit any unlawful, infringing, harmful, or malicious material; or (g) use the Service in any manner that could damage, disable, or impair it or interfere with any other party's use of it.
6. Free Tools and APIs
Certain tools, utilities, and APIs are offered free of charge and on an "as available" basis. Some tools run entirely in your browser and do not transmit your files or inputs to our servers; you remain solely responsible for the content you process with them. We may impose or change usage limits, require API keys, meter usage, or modify or discontinue any tool or API at any time. We reserve the right to throttle, suspend, or terminate your access to any tool or API immediately and without notice at our sole discretion, including for excessive usage, suspected abuse, or network protection. We do not guarantee that any tool or API will be available, uninterrupted, accurate, or error-free. If you are provided with an API key or create an account, you must keep your credentials secure and confidential. You are solely responsible for all activity, including any overages or abuse, that occurs under your API key or account, and you must notify us immediately if you suspect any unauthorized use of your credentials.
7. Your Submissions and Feedback
If you send us feedback, suggestions, questions, or other materials ("Submissions"), you grant the Company a perpetual, irrevocable, worldwide, royalty-free, sublicensable license to use, reproduce, modify, and incorporate the Submissions for any purpose without obligation or compensation to you, and you waive any moral rights you may have in the Submissions to the extent permitted by law. You represent that you own or control the rights to your Submissions and that they do not violate these Terms or any third-party rights. You are responsible for any content or data you provide or process through the Service. By submitting, uploading, or transmitting any data, files, or content to the Service, including through our APIs or tools, you grant the Company a worldwide, non-exclusive, royalty-free license to use, host, store, and process that content solely to provide, maintain, and improve the Service, and you represent that you have all rights necessary to grant this license.
8. Copyright Infringement (DMCA)
We respect the intellectual property rights of others. If you believe that any content on the Service infringes your copyright, please send a notice to our designated agent at support@itsmattgeorge.com with the following: (a) a physical or electronic signature of the copyright owner or authorized agent; (b) identification of the copyrighted work claimed to have been infringed; (c) identification of the material claimed to be infringing and where it is located on the Service; (d) your contact information; (e) a statement that you have a good faith belief that the use is not authorized by the copyright owner, its agent, or the law; and (f) a statement, under penalty of perjury, that the information in the notice is accurate and that you are authorized to act on behalf of the copyright owner. We may remove allegedly infringing material and terminate the access of repeat infringers.
9. Third-Party Links and Services
The Service may contain links to, or rely on, third-party websites, content, products, and services that we do not own or control. We provide these for convenience only and are not responsible for the availability, accuracy, content, or practices of any third party. Your dealings with any third party are solely between you and that third party.
10. Disclaimer of Warranties
THE SERVICE AND ALL CONTENT, TOOLS, AND APIS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, THE COMPANY DISCLAIMS ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE WILL BE ACCURATE, RELIABLE, SECURE, UNINTERRUPTED, OR ERROR-FREE. YOU ASSUME TOTAL RESPONSIBILITY AND RISK FOR YOUR USE OF THE SERVICE. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.
11. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL THE COMPANY OR ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE FULLEST EXTENT PERMITTED BY LAW, THE COMPANY'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US, IF ANY, TO USE THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM, OR ONE HUNDRED U.S. DOLLARS (100 USD). THE LIMITATIONS IN THIS SECTION DO NOT APPLY TO LIABILITY ARISING FROM THE COMPANY'S GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR FRAUD, OR TO ANY OTHER LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED BY APPLICABLE LAW. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
12. Indemnification
YOU AGREE TO DEFEND, INDEMNIFY, AND HOLD HARMLESS THE COMPANY AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AND AGENTS FROM AND AGAINST ANY CLAIMS, LIABILITIES, DAMAGES, LOSSES, AND EXPENSES, INCLUDING REASONABLE ATTORNEYS' FEES, ARISING OUT OF OR IN ANY WAY CONNECTED WITH YOUR ACCESS TO OR USE OF THE SERVICE, YOUR VIOLATION OF THESE TERMS, YOUR SUBMISSIONS, OR YOUR VIOLATION OF ANY LAW OR THE RIGHTS OF ANY THIRD PARTY. THIS INDEMNIFICATION OBLIGATION APPLIES REGARDLESS OF WHETHER THE CLAIM ARISES IN PART FROM THE ACTIVE OR PASSIVE NEGLIGENCE OF THE COMPANY.
13. Export Compliance
You represent and warrant that you are not located in a country or territory that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a terrorist-supporting country, and that you are not listed on any U.S. Government list of prohibited or restricted parties. You agree to comply with all applicable U.S. and international export control and sanctions laws and regulations in connection with your use of the Service.
14. Termination
We may suspend or terminate your access to the Service at any time, with or without cause or notice. Upon termination, the provisions of these Terms that by their nature should survive, including intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution, will survive.
15. Time Limitation on Claims
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ANY CLAIM OR CAUSE OF ACTION ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE OR THESE TERMS MUST BE FILED WITHIN TWO (2) YEARS AFTER SUCH CLAIM OR CAUSE OF ACTION AROSE, OR IT WILL BE FOREVER BARRED.
16. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. Before filing any claim, you agree to first contact us at support@itsmattgeorge.com and attempt in good faith to resolve the dispute informally for at least thirty (30) days. Any dispute not resolved informally will be resolved by final and binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The arbitration will be conducted in the United States county where you reside, or, if you reside outside the United States, in the county in which the Company maintains its principal place of business in Texas, unless both parties agree to conduct it by telephone or written submissions. Either party may still bring an individual claim in small-claims court or seek injunctive relief to protect intellectual property. You and the Company agree that each may bring claims against the other only in an individual capacity and not as a plaintiff or class member in any purported class or representative proceeding. If this class-action waiver is found unenforceable, the remainder of this section will not apply, and any dispute will be resolved in the state or federal courts located in the county in which the Company maintains its principal place of business, in the State of Texas, to whose exclusive jurisdiction and venue you consent.
Notwithstanding the above, you acknowledge that any breach of the Intellectual Property or Acceptable Use sections of these Terms would cause the Company irreparable harm for which monetary damages would be inadequate, and the Company may seek injunctive or other equitable relief in any court of competent jurisdiction without posting a bond or proving actual damages.
17. California Resident Notice
Under California Civil Code Section 1789.3, California users are entitled to the following notice: the Service is provided by Full Stack Development, LLC. If you have a question or complaint regarding the Service, please contact us at support@itsmattgeorge.com. California residents may reach the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs by mail at 1625 North Market Blvd., Sacramento, CA 95834, or by telephone at (800) 952-5210.
18. Changes to These Terms
We may revise these Terms from time to time. The "Last updated" date above reflects the latest version. If we make material changes, we will update that date and, if you have an account or API key, notify the email address associated with it; material changes become effective thirty (30) days after they are posted, and your continued use of the Service after that time constitutes your acceptance of the revised Terms.
19. General
These Terms, together with the Privacy Policy, are the entire agreement between you and the Company regarding the Service and supersede any prior agreements. If any provision is found unenforceable, the remaining provisions will remain in full effect. Our failure to enforce any provision is not a waiver of it. You may not assign these Terms without our consent, and we may assign them freely. Nothing in these Terms creates any partnership, agency, or employment relationship between you and the Company. The Company will not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, epidemics, network or infrastructure failures, cyberattacks, strikes, or shortages of transportation, fuel, energy, labor, or materials.
